Welcome to Nirmitsu. By accessing our website and utilizing our contact form, you agree to comply with and be bound by the following Terms and Conditions of use.

  1. Quotations and Orders

Validity - A quotation is valid for the period stated on it. After expiry, prices and timelines may be revised.

Scope of work - A quotation covers only the items, specifications, quantities and services written in it. Any additional work or requirement is charged separately.

Basis of quotation - Quotations rely on the drawings, files, dimensions, specifications and other information shared at the time of quoting. If any of these change, price and delivery may be revised.

Order confirmation - Production or procurement begins only after we receive a formal Purchase Order, work order or written confirmation against the quotation.

Change requests - A change in design, quantity, material, finish or scope after quotation or order confirmation may revise the price and delivery timeline.

Cancellation or hold - If an order is cancelled, postponed or put on hold after confirmation, Nirmitsu Design Labs may charge for work completed, materials procured and production capacity allocated up to that stage.

2. Prices, Taxes & Payments

Taxes and duties - All applicable taxes, including GST, are charged extra unless the quotation says otherwise.

Shipping costs - Shipping on a quotation is an estimate. If the actual cost is higher, the client pays the balance.

Payment terms - Payment is 100% in advance unless the quotation or Purchase Order states otherwise, or both parties agree otherwise in writing.

Invoicing - An invoice is raised against the corresponding Purchase Order or confirmed order, for the goods or services in it. It states the PO number and, for each line item, the part code, description, quantity and rate. Billing and shipping details follow the Purchase Order or written confirmation.

Quantity invoiced - Only the quantity supplied and accepted for dispatch is invoiced. Any change in quantity must be approved by both parties in writing before dispatch.

No unilateral hold - An invoice should not be held for reasons outside the agreed order requirements, or for documents not previously communicated as mandatory. Delays in inward, inspection approval or internal processing at the buyer's end should not unfairly or indefinitely delay payment for properly supplied goods.

3. Design, Materials and Tolerances

Technical approval - Dimensions, drawings, specifications and technical details shared by the client are treated as approved for quotation and production unless clarified in writing.

Design responsibility - Where the client provides design files, drawings or specifications, the client remains responsible for design suitability, fitment and functional performance. This changes only if design validation or design services are explicitly included in the scope.

Manufacturing tolerances - Tolerances and surface finish follow the standard capability of the selected process, unless specific tolerances or finish requirements are agreed in writing.
Material availability. A quotation depends on the proposed material being available when the order is confirmed. If it is not, we may issue a revised quotation or recommend an alternate material.

5. Inspection, Acceptance and Rejection

Inspection - Goods are inspected at the buyer's end only for conformity with the agreed specifications, drawings and dimensions. Inspection must be completed within 48 hours after delivery, using only mutually agreed criteria.

Deemed acceptance - If no discrepancy or rejection is communicated within 48 hours after delivery or inward of the goods, they are treated as accepted for invoicing and payment.

Rejection of goods - A rejection needs clear written reasons linked to the agreed specifications, approved drawings or quality requirements. Goods are not rejected on vague, undocumented or uncommunicated grounds.

Rework or replacement - We rework or replace goods only where the non-conformance is attributable to Nirmitsu Design Labs, and only the affected parts.
